1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the SEOvermind digital marketing automation service (the “Service”) provided by CorpoRobotics (“we,” “us,” or “our”), a company offering AI-powered marketing automation solutions. By purchasing, accessing, or using the Service, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you may not use the Service.

2. Description of the Service

SEOvermind is an AI-driven automation platform that functions as your robot marketing department. It performs scheduled digital marketing tasks including:

  • Keyword analysis and research (refreshed periodically)
  • Automated Google Ads campaign management and ad creation
  • Scheduled posting to Google Business Profile
  • Weekly blog posts and website content generation (for WordPress or similar)
  • Social media posting (Facebook, X/Twitter, LinkedIn, Instagram for Business)
  • Lead capture and basic follow-up automation across channels

SEOvermind connects your existing accounts and uses a custom Knowledge Base (built during onboarding) to generate compliant, on-brand content automatically. It is a set-it-and-forget-it automation appliance built on industry-standard automation platforms and AI models. We do not provide manual marketing consulting, creative strategy sessions, or full-service agency work. CorpoRobotics does offer Web Site Design that fully compliments the automation, as a separately billed project.

3. Client Responsibilities and Account Access

You are solely responsible for:

  • Setting up and maintaining your own verified accounts on third-party platforms (Google Ads, Google Business Profile, Facebook/Meta, X, LinkedIn, Instagram, WordPress, etc.).
  • Paying all advertising spend, platform fees, and third-party costs directly to those providers. SEOvermind is the automation layer.
  • Providing accurate business information, branding assets, and access credentials needed to build your custom Knowledge Base and connect the automation flows.
  • Ensuring all content and campaigns comply with applicable laws, platform policies, and your own advertising guidelines.
  • Monitoring your accounts and campaigns for compliance and performance.

You grant us limited, revocable permission to access your accounts solely to perform the automated tasks described in the Service.

4. Fees and Payment

  • One-time Setup Fee: $500 (covers custom Knowledge Base build and initial automation connections). Non-refundable.
  • Monthly Subscription Fee: Varies, check the pricing page. (covers full operation of the robot marketing department, including keyword analysis, content generation, posting, lead alerts, and included support).
  • SEOvermind is treated as SaaS / prewritten computer software access services (marketing automation platform) under Louisiana law (effective Jan 1, 2025); sales tax applies.
  • Payments are due monthly via the payment method you provide to the CorpoRobotics payment portal.
  • Late payments may incur a late fee.
  • We may pause or suspend the Service for non-payment.
  • Pricing is set for sole-proprietors and small teams in the New Orleans/Greater Metro Area; we reserve the right to adjust for clients outside this market.
  • Add-on project-based services (website design) are quoted and billed separately.

5. Intellectual Property

  • We retain all rights, title, and interest in the SEOvermind technology, automation flows, AI models, and underlying software.
  • Content generated by SEOvermind (blog posts, social media copy, ads, etc.) is licensed to you for your business use during the term of the Service.
  • You retain ownership of your Knowledge Base inputs and your own branding materials.
  • You grant us a limited, non-exclusive license to use your business information solely to deliver the Service.

6. Disclaimers and No Guarantees

The Service is provided “AS IS” and “AS AVAILABLE.” We do not guarantee:

  • Any specific number of leads, conversions, website traffic, search rankings, or return on investment.
  • That marketing results will meet your expectations or business goals.
  • Continuous, uninterrupted, or error-free operation of the Service.

Marketing outcomes depend on many external factors including your ad spend, market conditions, platform algorithm changes, and your own business operations. AI-generated content is provided for your review and approval where applicable; you are responsible for final use.

7. Limitation of Liability

To the fullest extent permitted by law, CorpoRobotics’s total liability arising out of or related to these Terms or the Service shall not exceed the total fees you paid to us in the twelve (12) months preceding the claim. We shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages (including lost profits, lost data, or business interruption).

8. Indemnification

You agree to indemnify, defend, and hold harmless CorpoRobotics, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of:

  • Your violation of third-party platform terms or advertising laws.
  • Your ad spend or campaign content.
  • Any misuse of the Service.

9. Termination

  • Either party may terminate the monthly subscription with thirty (30) days’ written notice.
  • The one-time setup fee is non-refundable.
  • Upon termination, automation flows will be disabled, and we will provide reasonable assistance to export any generated content.
  • We may terminate immediately for breach of these Terms or non-payment.

10. Governing Law and Venue

These Terms shall be governed by the laws of the State of Louisiana, without regard to conflict of laws principles.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service constitutes acceptance of the revised Terms.

12. Miscellaneous

  • These Terms constitute the entire agreement between you and us regarding the Service.
  • If any provision is held invalid, the remainder shall continue in full force.
  • No waiver of any breach shall constitute a waiver of any other breach.
  • You may not assign these Terms without our prior written consent.
  • Force majeure events (acts of God, internet outages, platform API changes, etc.) excuse performance delays.
